Hospital Asset Sales: Some Background and Recent Anecdotal Experience in New Jersey on Assigning HHS Provider Agreements/National Provider Identifiers

In three recent New Jersey chapter 11 hospital sales, the unsettled legal issues associated with attempts to assign a hospital’s HHS provider agreement and/or its National Provider Identifier (NPI) without assigning the liabilities stemming from those agreements and NPIs were either avoided or postponed, rather than litigated. The particular exigencies surrounding each of those hospital sales and the interests of each of the buyers in those cases steered the transactions clear of the uncertain waters. The author proposes one possible solution to help buyers purchase assets rather than liabilities and to aid sales of operating hospitals for good value.

Bankruptcy Consultants: The Role Of The Health Care Professional Liability Expert In Bankruptcy

I find it interesting that a lifetime of experience can lead you to a point where what you’ve mastered has an impact on a whole new segment of an industry you’ve not considered. Through my health care professional liability (PL) experience, I have made inroads into third party administrative (TPA) and investigative services, captive claims, coverage consulting, portfolio risk transfer and claim analysis of virtually every aspect of medical malpractice analysis and evaluation. Almost without realizing, I became more deeply involved in many different aspects of the health care bankruptcy industry.

Committee Meeting Minutes from the Annual Spring Meeting

The Health Care Committee educational session at ABI’s 26th Annual Spring Meeting was a great success. A lively and well-informed panel discussed the issues arising out of the disposition of health care entities both inside and outside of bankruptcy. Bringing their own extensive health care-related experience to bear on the issues were panelists Paul Rundell, senior director of the Healthcare Industry Group of Alvarez & Marsal (and the panel moderator); Elizabeth J. Austin, chair of the Bankruptcy Section of Pullman & Comley, LLC; Gerald H. Gline of the Bankruptcy Section of Cole Schotz Meisel Forman & Leonard PA and Peter Hartheimer, senior vice president of ClearBid Capital. Committee Co-chair Suzanne Koenig of SAK Management Services, LLC, also addressed the issues because of her extensive experience as the owner and operator of nursing homes and patient care ombudsmen in bankruptcy cases. The panel’s discussion was greatly enriched by the comments and questions of the attendees, attorneys and non-attorneys, who shared their experiences in the disposition of health care entities.
